【摘要】: 相对于中国而言,日本法上的公司人格否认制度是比较完善的,其适用也非常有特色。日本法上公司人格否认制度的适用特点主要有:坚守公司人格否认的衡平性;公司人格否认制度适用的法律后果由法官裁量;法官在制度发展过程中起主体作用。虽然我国通过立法确立了公司人格否认制度,但是不足之处仍然很多,在法律实践中存在着内涵模糊,适用要件不够明确,适用公司人格否认制度的法律后果比较单一等情况。本文拟通过对日本法上的公司人格否认制度的概况、发展历程和适用特点进行分析,结合我国国情,总结出对中国公司人格否认制度建设的借鉴意义。本文从加强关于公司人格否认制度的理论研究入手,明确公司人格否认制度的衡平性、灵活性,将这一制度作为现有公司制度的有力补充。同时,通过司法解释和最高人民法院的案例,丰富公司人格否认制度的内涵,进一步发挥法官对公司人格否认制度发展的主体作用。
[Abstract]:Compared with China, the system of corporate personality denial in Japanese law is quite perfect, and its application is also very characteristic. The applicable characteristics of the corporate personality denial system in Japanese law are as follows: sticking to the balance of corporate personality denial; the legal consequences of the application of corporate personality denial system are at the discretion of the judge; the judge plays the main role in the development of the system. Although the system of corporate personality denial has been established by legislation in our country, there are still many shortcomings, such as vague connotation in legal practice, lack of clarity of applicable elements, single legal consequences of applying the system of denial of corporate personality, and so on. This paper analyzes the general situation, development course and applicable characteristics of the corporate personality denial system in Japanese law, and sums up the reference significance for the construction of the corporate personality denial system in China. This paper begins with the theoretical research on the system of corporate personality denial, clarifies the balance and flexibility of the system of denial of corporate personality, and takes this system as a powerful supplement to the existing system of corporate personality denial. At the same time, through the judicial interpretation and the case of the Supreme people's Court, enrich the connotation of the corporate personality denial system, and further play the role of the judge in the development of the corporate personality denial system.
