公司法中新股发行制度的变革与启示

【摘要】：新股发行制度是公司法的重要组成部分,对公司融资以及公司运营起着重要的作用。进入21世纪以来,世界各国(地区)频繁的修改公司法,其背后有多重动因。但有两个因素起到了关键性的作用:一为全球化;二为知识经济的兴起。在此背景下,公司新股发行制度也表现出新的特点和趋势。笔者试图对新股发行制度的变革进行分析,并对中国公司法相关制度提出改革的建议。
[Abstract]:New issue system is an important part of company law, which plays an important role in corporate financing and operation. Since entering the 21 st century, many countries (regions) in the world have frequently revised the company law, which has many motives behind it. But there are two factors play a key role: first, globalization; second, the rise of knowledge economy. Under this background, the company new issue system also displays the new characteristic and the tendency. The author tries to analyze the reform of the new issue system, and puts forward some suggestions on the reform of the relevant system of Chinese company law.
