【摘要】：1870年,累积投票制第一次写入美国伊利诺伊州宪法中,距今已经有一百多年的历史,对于后来的许多国家和地区都有着深远影响。为了打破所谓的资本多数决原则,充分维护中小股东利益,我国在2005年新公司法修改时,引入了累积投票制这一概念。但是,公司法累积投票制只存在于该法的第106条。而对于累积投票制相关的具体操作和防止规避改规则的措施,在我国公司法、以及其他的法律法规中都没有体现。也就是说,在具体操作中,这个制度还很难正常的实施,因为它面临着许多技术难题。在以往的案例中,也缺乏类似的司法案例。但美国法律在经历了上百年的磨合,记载着相当多的立法司法经验,台湾的立法中也对此制度有着比较详尽的叙述。本文通过对于其他国家和地区的相关立法例的借鉴,提出了相关的应对措施。本文主要分为四个部分：第一部分,介绍了公司累积投票制的基础理论,讨论了累积投票制的定义,并强调累积投票制的价值,对累积投票制作了简要分析。第二部分,介绍我国累积投票制的实践及不足,着重分析了累积投票制在我国的实施现状,通过对公司法及相关法律法规的解读,分析我国累积投票制的不足及在适用累积投票制中所涉及到的具体问题。第三部分,通过分析其他国家和地区累积投票制的立法例,从美国和中国台湾等国家和地区的发展历程,总结经验,吸取教训。第四部分,在借鉴美国等国家和地区相应立法和司法经验的基础上,从适用模式和具体措施两个角度对完善我国累积投票制提出了相应的建议,并对我国公司累积投票制作出展望。
[Abstract]:In 1870, the cumulative voting system was first written into the American Constitution of Illinois, which has a history of more than 100 years and has a profound influence on many countries and regions. In order to break the so-called principle of capital majority decision and fully protect the interests of minority shareholders, China introduced the concept of cumulative voting system when the new company law was revised in 2005. However, the company law accumulative voting system only exists in section 106 of the law. However, the specific operation of the cumulative voting system and the measures to prevent the circumvention of the reform rules are not reflected in the company law of our country and other laws and regulations. In other words, this system is difficult to carry out normally, because it faces a lot of technical problems. In the past cases, there is also a lack of similar judicial cases. However, American law has experienced a hundred years of running-in and has recorded quite a lot of legislative and judicial experience, and Taiwan's legislation also has a more detailed description of this system. Based on the reference of other countries and regions, this paper puts forward the relevant countermeasures. This paper is divided into four parts: the first part introduces the basic theory of corporate cumulative voting system, discusses the definition of cumulative voting system, emphasizes the value of cumulative voting system, and makes a brief analysis of cumulative voting system. In the second part, the author introduces the practice and deficiency of the cumulative voting system in our country, analyzes the current situation of the implementation of the cumulative voting system in China, and interprets the company law and related laws and regulations. This paper analyzes the deficiency of the cumulative voting system in China and the specific problems involved in the application of the cumulative voting system. The third part, through the analysis of other countries and regions cumulative voting system legislation, from the United States and Taiwan and other countries and regions of the development process, summed up experience, draw lessons. The fourth part, on the basis of the corresponding legislation and judicial experience of the United States and other countries and regions, puts forward the corresponding suggestions to perfect the cumulative voting system in our country from the perspective of applicable mode and concrete measures. And to our country company accumulative vote produces the prospect.
