论大宗散货中部分货物的特定化问题

【摘要】：货物特定化是国际贸易中一项重要的法律行为,其主要涉及的行为是将合同买卖的货物从其他同类货物中分离出来,并打上标签,或者以其他方式将货物特定于合同项下。但是在大宗散货的情况下,难以对其中部分货物进行分离,这种情况下如何实现特定化就成为一个问题。本文首先分析大宗散货区别于一般种类物的主要特点,然后总结某些国内法律及国际公约如何处理大宗散货的特定化问题,籍此希望对于我国合同法中刚刚引进的货物特定化制度产生一定借鉴作用。
[Abstract]:The specialization of goods is an important legal act in international trade, which mainly involves separating the goods bought and sold under the contract from other similar goods and labeling them, or making the goods specific to the contract item in other ways. However, in the case of bulk goods, it is difficult to separate some of them. In this case, how to achieve customization becomes a problem. This paper first analyzes the main characteristics of bulk goods which are different from general types, and then summarizes how some domestic laws and international conventions deal with the problem of bulk cargo specificity. It is hoped that it can be used for reference to the newly introduced system of goods specialization in contract law of our country.
