论商品房买卖中的情势变更原则

【摘要】:情势变更原则历史由来已久,围绕其产生的争议也持续不断。2009年最高人民法院终于在《关于适用中华人民共和国合同法若干问题的解释(二)》中明确承认了情势变更原则的适用。然而,有关该原则的规范价值、作用范围、概念界定以及应用限制等问题还有待于进一步深化研究、逐一澄清。 本文即欲结合长久以来的社会热点问题——商品房交易——来浅析情势变更原则在房屋买卖纠纷中的适用情况,以便更生动地呈现情势变更原则广泛的实践价值和发展空间。同时,本文将综合运用比较法、案例分析法以及法律解释的方法进行论证,尤其是通过与德国法上的交易基础受扰制度的比较分析,更深度地剖析情势变更原则的应用现状与改进之道。 正文第一章简要介绍情势变更原则的制度背景、历史沿革以及我国司法解释规定的构成要件和法律效果后,第二章开始结合近期楼市的热点案件分析情势变更原则在实践中的适用状况。笔者将与此相关的商品房买卖纠纷依照案发原由大致分为四类,即:因限贷限购的楼市调控政策导致的纠纷、因房价下滑引起的退款退房纠纷、因建材的价格起伏或运输迟延引发的纠纷以及因房屋品质特性变化而产生的纠纷。在这四类争议中,情势变更原则各有其适用与限制,与相近的法律制度之间的区分界定也是这部分内容需要探讨的一个重点。论文第三章继续剖析情势变更原则在具体应用过程中可能会碰到的几个典型问题,例如:合同约定的优先性;在履行迟延后适用情势变更原则的方式;关于情势变更原则时间性构成要件的争议以及该原则适用于商品房买卖纠纷中所引发的法律效果。论文第四章则建立在前文对情势变更原则分析探讨的基础之上,就我国司法解释的现行规定提出几项优化改进建议,以期在将来的民法典中情势变更原则能够得到进一步确立。相信经由理论研究和司法实践的不懈锤炼,未来的情势变更原则会有更加纯熟自如、合乎尺度的表现,以充分彰显其内涵精义与规范价值。
[Abstract]:The principle of change of circumstances has a long history. In 2009, the Supreme people's Court explicitly acknowledged the application of the principle of change of circumstances in the interpretation of certain issues concerning the Application of contract Law of the people's Republic of China (2). However, the normative value, the scope of action, the definition of concept and the limitation of application of this principle need to be further studied and clarified one by one. In this paper, we want to analyze the application of the situation change principle in the housing sale dispute by combining the social hot issue for a long time-commercial housing transaction-so as to present more vividly the extensive practical value and development space of the situation change principle. At the same time, this article will use the comparative method, the case analysis method and the legal interpretation method to carry on the demonstration synthetically, especially through the comparison analysis with the German law on the transaction basis disturbed system, The application of the principle of situation change and the ways to improve it are analyzed in depth. The first chapter of the text briefly introduces the system background of the principle of the change of circumstances, the historical evolution, the constitutive elements and the legal effects of the provisions of judicial interpretation in our country. The second chapter begins to analyze the application of the principle of situation change in practice combined with the recent hot cases in the real estate market. The author divides the related commercial housing sale dispute into four categories according to the original reason of the case, namely: the dispute caused by the property market regulation and control policy, the refund and check-out dispute caused by the decline of the house price. Disputes arising from price fluctuations or delays in the delivery of building materials and disputes arising from changes in the quality of buildings. In these four kinds of disputes, the principle of change of circumstances has its own application and limitation, and the distinction between it and the similar legal system is also an important point to be discussed in this part. The third chapter continues to analyze several typical problems that may be encountered in the specific application of the principle of change of circumstances, such as the priority of contract agreement, the way to apply the principle of change of circumstances after the delay in performance; The dispute about the temporal elements of the principle of change of circumstances and the legal effect caused by the principle being applied in the dispute of sale and purchase of commercial housing. The fourth chapter is based on the analysis and discussion of the principle of the change of circumstances, and puts forward some suggestions for the improvement of the current provisions of judicial interpretation in our country, in the hope that the principle of change of circumstances can be further established in the civil code in the future. It is believed that through theoretical research and judicial practice, the principle of situation change in the future will be more mature and free, in accordance with the standard of performance, in order to fully demonstrate its meaning and normative value.
