论建设工程优先受偿权实现的障碍与冲突的解决

【摘要】:建设工程优先受偿权作为建筑企业保护自己的特殊权利,在理论与实践中均存在不完善之处。理论上,该权利的性质属性始终存在争议。实践中,由于缺少详细的法律规定,各地高院纷纷出台了指导意见。而指导意见的不一致导致了各地法院审判口径不一。本文第一部分从建设工程优先受偿权的性质展开,笔者认为建设工程优先受偿权实质为优先权。第二部分为分析建设工程优先受偿权主体,客体、受偿范围、行使方式与期限限制等。该权利的主体为承包人,但不包括设计、勘察、劳务人员。专业分包人应当同总承包人一样享有对其承包范围内工程价款的优先受偿权。在建设工程合同无效情形下,实际施工人可以在工程竣工验收合格的情况下,享有优先受偿权。该权利的受偿范围,除了工程实施过程中产生的人员报酬和材料费用,还应包含承包人的实际损失与合理利润。行使方式上,应允许承包人以诉讼或函告的形式主张权利。发包人停缓建工程、迟缓结算、工程抵押贷款这三种因素对总承包人行使优先受偿权的影响与解决办法。第三部分为与其他权利冲突时的适用问题。当质权、银行抵押权与优先受偿权冲突时,优先受偿权清偿顺序优先于质权、银行抵押权。商品房购买者权利可以阻却优先受偿权,但应进行限制。第四部分为笔者对完善优先受偿权的建议以及措施,对于实践中行使建设工程优先受偿权存在问题几种常见情形,提出自己的观点,以期对完善我国建设工程优先受偿权制度有所裨益。
[Abstract]:As a special right of construction enterprises to protect their own rights, construction project priority right is imperfect in theory and practice. In theory, the nature of the right has always been controversial. In practice, due to the lack of detailed legal provisions, various high-court issued guidance. And the inconsistency of the guidance resulted in different calibre of the courts. The first part of this paper starts from the nature of the priority compensation right of the construction project, and the author thinks that the priority of the construction project priority compensation right is the essence. The second part is to analyze the subject, object, compensation range, exercise mode and time limit of the priority compensation right of construction project. The subject of this right is the contractor, but does not include design, survey and labor personnel. The professional subcontractor shall enjoy the same priority as the general contractor over the cost of the works within the scope of his contract. In the case of invalid contract of construction project, the actual constructor may enjoy the right of priority in the case of the acceptance and acceptance of the completion of the project. The compensation scope of this right shall include the actual loss and reasonable profit of the contractor in addition to the personnel remuneration and material cost arising from the implementation of the project. In the exercise, the contractor shall be allowed to claim his rights in the form of an action or a written notice. The influence and solution of the three factors of the contractor's stopping the deferred construction project, the late settlement and the project mortgage loan to the general contractor's exercising the priority right to be reimbursed. The third part is the application of conflict with other rights. When the right of pledge, bank mortgage and priority right are in conflict, the priority right of repayment takes precedence over the right of pledge, and the right of bank mortgage. The buyer's right of commercial housing can prevent the priority of compensation, but should be restricted. The fourth part is the author's suggestions and measures to improve the priority compensation right, and puts forward his own views on several common problems existing in the practice of exercising the priority compensation right in construction projects. In order to improve China's construction project priority compensation system is beneficial.
