矿业权抵押法律制度研究

【摘要】:矿业权抵押是矿业权流转的重要组成部分,在矿业权二级市场中发挥着不可替代的作用。我国矿业权抵押经历了禁止流转到放开流转的发展历程,虽然我国法律已允许矿业权抵押,但这一制度并没有在矿业基本法中予以明确规定,只是在部门规章中有所提及,且条文简单,仅在《矿业权出让转让管理暂行规定》第55-58条对矿业权抵押的概念,抵押物的价值评估,矿业权抵押的备案登记以及矿业权的抵押实现进行了规定,内容极不完善。随着我国矿业经济的进一步发展,现有的矿业权抵押法律制度已不能适应时代的需求,矿业权市场的良好有序运行亟需法律制度的改革为其保驾护航,矿业权抵押法律制度的改革迫在眉睫。本文主体分为三个部分,第一部分首先从界定矿业权的法律属性入手,通过对有关矿业权法律属性的各种理论学说的分析比较,明确矿业权的用益物权属性,为后文探讨矿业权抵押制度奠定基础。随后正式引入矿业权抵押制度,从矿业权抵押的概念、法律特征、价值、国内外的法律规定等几个方面对矿业权抵押的基础理论做一概述,以期对矿业权抵押制度有一个整体的认识。第二部分主要对现行矿业权抵押制度中存在的问题进行了梳理分析,通过对矿业权能否设定抵押、矿业权人能否以其矿业权为他人的债务提供抵押担保、矿业权抵押合同何时生效、矿业权抵押权的设立方式、抵押权人风险问题、受让人的资质要求、矿业权抵押和出租竞合问题等问题的详细剖析,凸显出现行矿业权抵押法律体系的不完善与滞后性,说明了改革现有矿业权抵押制度的必要性。最后一部分为对完善现有矿业权抵押制度的改革建议,此部分共分为三个方面:一是法律改进方面,提出改变原有的矿业法律公私合体的旧模式,修订矿业基本法,在基本法中对矿业权抵押制度予以详细规定,并做好法律法规的清理工作,完善整个矿业法律体系,使之不再出现某些法规在适用上“越阶”的尴尬情况;二是制度本身完善方面,从矿业权抵押合同的具体内容、矿业权抵押权的实现问题、矿业权抵押登记制度等方面,针对性的提出对现有矿业权抵押制度本身的改革建议;三是制度外部约束机制方面,这部分从矿业权价值评估机制、公权力介入的限度这两个影响矿业权抵押制度的主要外部因素入手,简要地分析了如何通过改革这些因素为矿业权抵押制度营造出良好的发展环境。在全文的整个论述过程中,笔者坚持以物权法基本理论联系矿业权抵押实践,力求以务实为本,通过理性的思考和分析寻求出矿业权抵押制度在市场经济条件下健康发展的改革之道,希望能真正为矿业权抵押制度乃至整个矿业权市场的有序发展做出微薄贡献。
[Abstract]:Mining right mortgage is an important part of mining right circulation and plays an irreplaceable role in the secondary market of mining right. The development of mining right mortgage in our country has gone through the course of prohibiting circulation from circulation to liberalizing circulation. Although the law of our country has allowed mining right mortgage, this system has not been clearly stipulated in the mining basic law, but only mentioned in the department regulation. And the article is simple, only in the "Mining Rights transfer Administration interim provisions" 55-58 on the concept of mining rights mortgage, the value of the mortgage, the registration of mining rights mortgage and the realization of the mining rights mortgage. The content is far from perfect. With the further development of China's mining economy, the existing legal system of mining right mortgage can not meet the needs of the times. The good and orderly operation of the mining right market needs to be protected by the reform of the legal system. The reform of the legal system of mining right mortgage is urgent. The main body of this paper is divided into three parts. The first part begins with the definition of the legal attributes of mining rights, through the analysis and comparison of various theories about the legal attributes of mining rights, it makes clear the property of usufruct of mining rights. It will lay a foundation for the discussion of the system of mining right mortgage. Then formally introduce the mining right mortgage system, from the concept of mining right mortgage, legal characteristics, value, domestic and foreign legal provisions and other aspects to do a summary of the basic theory of mining right mortgage, With a view to mining right mortgage system has an overall understanding. The second part mainly analyzes the existing problems in the current mining right mortgage system. The detailed analysis of when the mining right mortgage contract will come into effect, the way of establishing mining right mortgage, the risk problem of mortgagee, the qualification requirement of transferee, the problem of mining right mortgage and lease competing, etc. It highlights the imperfection and lag of the current legal system of mining right mortgage, and explains the necessity of reforming the existing mining right mortgage system. The last part is about the reform of the existing mining right mortgage system, which is divided into three aspects: first, in the aspect of law improvement, the author proposes to change the old model of the combination of public and private mining laws, and to amend the mining basic law. In the basic Law, the system of mining right mortgage should be stipulated in detail, and the cleaning up of laws and regulations should be done well, and the whole mining legal system should be perfected so that there is no more embarrassment in the application of some laws and regulations. The second is the perfection of the system itself, from the specific content of the mining right mortgage contract, the realization of mining mortgage, mining right mortgage registration system and other aspects, targeted to the existing mining right mortgage system itself reform proposals; The third is the external restraint mechanism of the system. This part starts with the value evaluation mechanism of mining right and the limit of public power intervention, which are the two main external factors that affect the system of mining right mortgage. This paper briefly analyzes how to create a good development environment for mining right mortgage system by reforming these factors. In the whole process of the full text, the author insists on combining the basic theory of real right law with the practice of mining right mortgage, and strives to be pragmatic. Through rational thinking and analysis to find out the reform of mining right mortgage system under the condition of market economy, hoping to make a meager contribution to the orderly development of mining right mortgage system and the whole mining right market.
