新型担保的法律规制探析

【摘要】：随着市场对融资需求的不断加剧,以及各种可让与的财产权利不断增多,在实践中出现了所谓突破《物权法》与《担保法》中对权利质权标的范围之限定,将一些具有财产权益的权纳入作担保标的范围的担保方式,即新型担保。而随着新型担保在实践中的运用日趋广泛,社会关注度的不断提高,其法律性质不明,法律适用不确定的问题逐渐凸显出来,阻碍了其进一步的运用,为更好的发挥新型担保授信融资的作用,亟需在厘清相关争议的前提下加强对新型担保法律规制的研究。本文主要从五个部分对新型担保的法律规制问题进行分析:第一部分主要阐述实践中出现的部分新型担保,包括有商铺租赁权担保、出租车经营权担保等等,对其发展现状、操作模式、及实践中相关的案例进行一定说明。并阐述理论界与实务界对新型担保的态度,具体包括能否承认新型担保的物权效力,以及承认其物权效力后对其如何适用法律的问题。第二部分则针对上述问题,从社会实践的角度分析在物权法定缓和的背景下,认定部分新型担保物权效力的必要性,并提出可以尝试使用权利质押制度对新型担保进行规制。第三部分是结合前述观点,重点对什么样的权利能够出质这一问题从民法理论的角度进行分析,指出并非在任何特定权利上设定的担保均属于权利质权,一项权利能否出质需要看该项权利能否在满足权利质权客体的基本特征。同时论述物权公示对现代交易安全的重要性,分析在物权公示主义下公示的具体效力,提出确定新型担保公示方法的思路与理由。第四部分运用上述部分得出的结论对各种新型担保进行一一评析,具体分析各新型担保担保客体的法律性质,阐述其能否符合权利质权对其客体的基本要求并说明理由,并分析确定符合要求的新型担保的公示方法。第五部分则结合上述各章,为更好的规制新型担保,从立法体例、标的范围、登记机关与理论研究四个方面提出本文的相关建议。
[Abstract]:With the increasing market demand for financing and the increasing number of transferable property rights, there has been a breakthrough in the scope of the object of pledge of rights in the so-called "property Law" and "Security Law" in practice. Some rights with property interests are included in the scope of the subject matter of security, that is, new security. With the increasing use of new security in practice and the increasing social concern, the nature of the law is not clear and the application of the law is uncertain, which hinders its further application. In order to play the role of new type of guarantee credit financing, it is urgent to strengthen the research on the legal regulation of new type guarantee on the premise of clarifying the relevant disputes. This paper mainly analyzes the legal regulation of the new security from five parts: the first part mainly expounds some new types of guarantee which appear in practice, including the guarantee of the right to lease of shops, the guarantee of the right to operate taxis, and so on, and the present situation of its development. Operating mode, and practice of relevant cases to a certain extent. It also expounds the attitude of the theoretical and practical circles to the new security, including whether the real right validity of the new security can be recognized, and how to apply the law to the new security after the recognition of its real right effect. The second part analyzes the necessity of confirming the validity of some new security real right from the angle of social practice, and puts forward that we can use the pledge of rights system to regulate the new security. The third part focuses on the analysis of what rights can be pledged from the angle of the theory of civil law, and points out that the security created on any particular rights is not a pledge of rights. Whether a right can be pledged depends on whether it can satisfy the basic characteristics of the object of right pledge. At the same time, this paper discusses the importance of publicizing real right to the security of modern transactions, analyzes the concrete effect of publicity under the doctrine of publicalism of real right, and puts forward the ideas and reasons for determining the new method of guaranty publicity. The fourth part uses the conclusions of the above part to analyze and analyze the legal nature of each new security object, explain whether it can meet the basic requirements of the pledge of rights to its object and explain the reasons. And analysis of the new type of guarantee in accordance with the requirements of the public method. The fifth part combined with the above chapters, in order to better regulate the new security, from the legislative style, the scope of the subject matter, registration authorities and theoretical research four aspects of this paper put forward the relevant suggestions.
