【摘要】：随着数字技术、网络技术的发展,电子商务也取得了很大的进步,发展迅猛, 给人类的生产、生活带来了深远的影响。电子商务以电子文件代替了纸面文件, 给传统的建立在纸面文件基础上的国际贸易法规带来了强大的冲击。因此研究电子商务的法律问题就显得尤为重要。电子合同的收到和证实问题、要约和承诺问题、合同成立的时间和地点问题以及书面问题、签字问题都成为了新的问题;电子证据问题、管辖问题以及电子商务第三人的责任问题,都需要我们在立法时重新面对。本文阐述了电子商务的概念、发展情况及其所涉及的法律问题,介绍了其他国家关于电子商务的立法,介绍了国际贸易法委员会所制定的《电子商务示范法》和《电子签名示范法》,指出了两个示范法先进的立法技术和法律原则。研究了我国电子商务发展情况、立法情况,并提出了笔者的建议。弄清这些问题,无论是对于从事电子商务还是IT产业的经营、管理以及进行相关的科研开发,都具有十分重要的意义。
