海上保险中保证制度相关法律问题研究

【摘要】：本文是对海上保险法中保证制度相关法律问题的尝试性研究。起源于英国海上保险实践的保证制度,历经了几百年的发展深化,内涵不断丰富,并形成了十分完备的制度体系。我国海商法在第十二章“海上保险合同”中移植了英国法中关于保证的概念,但在实质内容上却受前苏联海商法的影响,而且由于相关法律规定过于粗疏,国内学者对这一制度的研究较少并不够深入,立法上、学理上的种种不足导致保证制度在司法实际运作中困难重重。本文从英国等多国的相关立法及案例出发,结合我国海商法的规定,对保证制度的概念、沿革、分类、明示保证、默示保证等相关法律问题详加阐述。以期勾勒出这一制度的理论框架,为司法实践提供一定的参考价值,以完善我国相关立法。文章分为五个部分。第一章为保证制度的概述,分为三节,分别讨论了保证制度的概念、沿革,保证的性质及特征、保证的分类及保证与告知、条件、除外责任条款等易为混淆的相关法律概念的异同。第二章论述明示保证的相关法律问题,以明示保证条款的解释为中心分为二节。其中第一节为明示保证的解释,分别论述了明示保证解释的必要性及解释的各项原则。由于明示保证在海上保险实践中运用最广,也最容易产生争议,争议的焦点往往在于是否存在明示保证、保证的内容为何,该节的论述对实践中明示保证的解释具有一定的参考价值。第二节介绍了在海上保险实践中广泛运用的一些典型的明示保证,并对相关法理详加剖
[Abstract]:This paper is a tentative study on the legal issues related to the guarantee system in the marine insurance law. The guarantee system, which originated from the practice of marine insurance in England, has been developed and deepened for hundreds of years, with rich connotation and a very complete system. In Chapter 12, "Marine Insurance contract", the maritime law of our country transplanted the concept of warranty in English law, but in substance it was influenced by the maritime law of the former Soviet Union, and the relevant law was too careless. The lack of research on this system by domestic scholars is not deep enough, and various deficiencies in legislation and theory lead to difficulties in the practical operation of the guarantee system. Starting from the relevant legislation and cases of the United Kingdom and other countries, combined with the provisions of China's maritime law, the concept, evolution, classification, express warranty, implied warranty and other relevant legal issues of the warranty system are elaborated in detail in this paper. In order to outline the theoretical framework of this system, to provide certain reference value for judicial practice, in order to improve the relevant legislation in China. The article is divided into five parts. The first chapter is an overview of the guarantee system, which is divided into three sections. It discusses the concept, evolution, nature and characteristics of the guarantee system, the classification of guarantee, the guarantee and information, and the conditions, respectively. The differences and similarities of related legal concepts, such as exclusionary liability clauses, are easy to be confused. The second chapter discusses the relevant legal issues of express warranty, with the interpretation of express warranty clause as the center of two sections. The first section is the interpretation of express warranty, which discusses the necessity of the interpretation of express warranty and the principles of interpretation. Since express warranty is the most widely used in marine insurance practice, it is also the most disputable, the focus of the dispute is often whether there is an express warranty, and what is the content of the warranty. The discussion of this section has certain reference value for the interpretation of express guarantee in practice. The second section introduces some typical explicit warranties which are widely used in marine insurance practice, and gives a detailed analysis of relevant legal principles.
