公司职工持股会法律问题研究

【摘要】:职工持股会作为我国职工持股制度的一种重要载体,在国企改制和股份制改革中曾经起到重要作用。职工持股会在我国的出现主要是解决内部职工持股分散而造成管理不便的问题,可以说对职工持股制度起到“救火队”的作用。然而,当时我国的公司立法刚刚起步,许多相关法律制度仍处于摸索的阶段,这为政府部门政策性推动职工持股会的设立提供了机会。可是,随着公司立法的逐渐完善及相关配套法律法规的制定,我们却发现职工持股会没有得到法律身份的认同,这个问题一直到现在仍没有得到解决。职工持股会不但对国有控股及参股公司仍有现实意义,对其他所有制的公司也有借鉴意义,针对这种情况,职工持股会何去何从时刻受到人们的关注。 本文试图通过历史分析、文本分析、比较分析以及案例分析等研究方法,以民法和商法的基本原理为指导,结合职工持股会的现有法律法规和政策办法,来分析研究我国职工持股会存在的法律问题,并就如何解决这些法律问题提出一些建设性的意见,为职工持股会的发展提供些许帮助。 全文共分四个部分。第一部分是我国职工持股会的产生及其法律法规的演变,主要着重阐述持股会的产生背景、历史缘由以及发展过程中的法律法规与政策的演变过程,通过对职工持股会产生的背景和历史缘由进行分析为后来持股会存在的法律问题研究提供历史材料,特别是对国家和各个省市对职工持股会出台的管理办法进行重点解读。第二部分是分析我国职工持股会现存的法律问题,分析其法律问题产生的原因及其深层次背景,并对存在的法律问题进行详细分析,其中重点阐述持股会存在最棘手的法律问题和影响职工持股会长远发展的原因。第三部分是职工持股会当前面临的法律障碍及其价值的重新定位,重点是对职工持股会面临的法律障碍进行分析,研究产生这些法律障碍的原因,并提出当前应该完善职工持股会的法律法规,而不是仅仅撤销就可以解决职工持股会的问题。另外,重塑职工持股会在当前社会背景下的价值并对其深刻挖掘。第四部分是我国职工持股会发展完善的立法建议,主要是从职工持股会的法律地位和立法模式上进行分析,并最终对我国职工持股会发展完善提出立法建议,主要是通过基本法律的修改、行政规章的制定以及持股会章程自治的运用来共同保障职工持股会的健康发展。
[Abstract]:As an important carrier of the ESOP system in China, the ESOP has played an important role in the reform of state-owned enterprises and the reform of the shareholding system. The emergence of ESOP in China is mainly to solve the problem of management inconveniences caused by the decentralization of employee stock ownership in China, and it can be said to play the role of "fire brigade" in the ESOP system. At that time, the company legislation in our country was just starting, and many relevant legal systems were still in the stage of exploration. This provided the opportunity for the government departments to promote the establishment of the staff shareholding meeting. However, with the gradual improvement of the company legislation and the formulation of relevant relevant laws and regulations, we found that the employee stock ownership will not be recognized by the legal identity. In the same way, this problem has not been solved until now. The ESOP will not only have practical significance to the state-owned holding and share companies, but also have a reference for other ownership companies.
Through historical analysis, text analysis, comparative analysis and case analysis, this paper tries to analyze the existing legal questions of ESOP in China by combining the basic principles of civil law and commercial law, combining the existing laws and regulations and policy methods of ESOP, and puts forward some suggestions on how to solve these legal problems. Constructive suggestions will provide some help for the development of ESOP.
The full text is divided into four parts. The first part is the development of the ESOP in China and the evolution of its laws and regulations. It mainly focuses on the background of the stock holding, the historical reason and the evolution process of the laws and regulations and policies in the process of development. Through the analysis of the background and historical reasons of the ESOP and the historical reasons, it will be the later holding meeting. The study of the existing legal problems provides historical materials, especially the key interpretation of the management methods of the ESOP in the state and various provinces and cities. The second part is the analysis of the existing legal problems of the ESOP in China, the reasons for its legal problems and its deep background, and the details of the existing legal problems. The third part is the legal obstacles that the ESOP is facing and the reorientation of their values. The emphasis is on the analysis of the legal obstacles that the ESOP is facing and the reasons for these legal obstacles. In addition, remolding the value of ESOP in the current social background and digging deep into it. The fourth part is the legislative proposal for the development and perfection of the ESOP in China, mainly from the law of the ESOP. The status and legislative model are analyzed, and finally the legislative proposals for the development and improvement of the ESOP are put forward, mainly through the modification of the basic laws, the formulation of the administrative rules and the use of the autonomy of the shareholding statute to ensure the healthy development of the ESOP.
