大陆法系与英美法系代理制度的比较

【摘要】：代理制度源远流长，理论艰深。无论是大陆法系国家，还是英美法系国家都将其作为一种重要的法律制度规定在民商法中。随着世界各国法律文化的交融以及我国区际法律冲突的出现，如何借鉴、吸收两大法系代理制度中优秀成果为我所用，已成为我们必须认真加以研究的课题。本文用比较分析的方法，以两大法系代理理论为立足点，着眼于我国内地立法现实，紧紧围绕代理权这一代理制度的核心，，结合大陆法系的代理理论、制度设计，剖析大陆法系直接代理与间接代理制度，评论我国的立法实践，并提出大陆法系代理的概念；结合英美法系代理制度中的“等同理论”，对英美法系披露委托人身份的代理和不披露委托人身份的代理进行界定，澄清我国民法学界对隐名代理理解上的混乱，阐释隐名代理与行纪制度的关系。并在此基础上，对两大法系中的表见代理(不容否认的代理)制度、追认代理制度进行研究、评判优缺，进而从完善我国代理制度实体规范和冲突规范两方面，提出完善我国代理制度的建议。
[Abstract]:Agency system has a long history and the theory is difficult. Both civil law countries and common law countries regard it as an important legal system in civil and commercial law. With the amalgamation of the legal culture of various countries and the emergence of the conflict of law between regions in our country, how to draw lessons from and absorb the outstanding achievements in the agency system of the two legal systems has become a subject that we must study seriously. This article uses the method of comparative analysis, taking the agency theory of the two legal systems as the foothold, focusing on the legislative reality of the mainland of China, focusing on the core of the agency system, combining the agency theory of the continental law system, and designing the system. This paper analyzes the system of direct and indirect agency in the civil law system, comments on the legislative practice of our country, and puts forward the concept of the agent in the civil law system, combining with the "equivalent theory" in the agency system of the common law system. This paper defines the agent that discloses the identity of the principal and the agent who does not disclose the identity of the principal in Anglo-American law system, clarifies the confusion in the understanding of the anonymous agent in the field of civil law in China, and explains the relationship between the anonymous agent and the disciplinary system. On the basis of this, this paper studies the apparent agency (undeniable agency) system in the two legal systems, validates the agency system, evaluates the advantages and disadvantages, and further improves the substantive norms and conflict norms of the agency system in our country. Some suggestions are put forward to perfect the agency system in our country.
