质押权法律制度研究

【摘要】： 质押是一种重要的担保方式和法律制度，在现代市场经济社会中起着非常重大的作用。我国立法对质押的法律规定还有不尽人意之处，离社会经济生活的要求尚有距离。本文运用历史分析和比较法学的研究方法，，对动产质押、权利质押、营业质权等进行了较细致的分析与探讨。全文共分五个部分。第一部分为质押的概念、特征及历史沿革。第二部分为动产质押问题研究，探讨了动产质押的设定；动产质押与占有、效力；动产质押的实现及消灭。第三部分为权利质押问题研究，论述了权利质押的意义、权利质押的设定、权利质押的效力、权利质押的实现。第四部分为营业质权，分析了营业质权的概念、特征、设立、效力、期限和消灭。第五部分为完善我国质押法律制度的立法思考，提出了我国质押立法的建议。
[Abstract]:Pledge is an important way of guarantee and legal system, which plays a very important role in modern market economy society. China's legislation still has unsatisfactory legal provisions on pledge, which is still far from the requirements of social and economic life. By using the methods of historical analysis and comparative law, this paper makes a detailed analysis and discussion on pledge of movable property, pledge of right and pledge of business. The full text is divided into five parts. The first part is the concept, characteristics and historical evolution of pledge. The second part is the study of chattel pledge, which discusses the establishment of chattel pledge, chattel pledge and possession, validity, realization and elimination of chattel pledge. The third part discusses the significance of pledge of rights, the establishment of pledge of right, the validity of pledge of right and the realization of pledge of right. The fourth part analyzes the concept, characteristics, establishment, validity, duration and elimination of the business pledge. In the fifth part, the author puts forward some suggestions on the legislation of pledge in order to perfect the legal system of pledge in our country.
