船舶抵押权相关法律问题研究

【摘要】:航运业的发展需要巨大的资金维持,仅凭自有资金难以购买或者建造海商法意义上的船舶,故从船舶建造和购买之初就会产生融资的需要。为了鼓励航运融资,各国海商法皆创立了不转移占有的船舶抵押权制度。然而,研究船舶抵押权法律制度不仅要立足于民法上抵押权的基本理论,更要结合船舶的特性、航运实务的需要及海商法的特点进行综合性的探讨。 本文从民法基本原理出发,紧扣航运融资的实践和海商法之特性,结合两大法系主要海运国家的相关立法和有关国际公约的规定,进行了比较研究,同时运用法律解释学的方法对我国有关立法规定进行了剖析。 本文除引言外共分四章。 第一章对于船舶抵押人的身份认定问题进行了总结和反思,着重探讨了第三人对船舶设定抵押权和在建船舶抵押权设定的相关问题。 第二章主要论及对于船舶抵押权标的物问题的研究,其中包括了对理论界现有成果的系统化及作者本身的理解。 第三章论述了船舶抵押当事人双方的权利义务,着重在于如何保护及平衡双方权益。 第四章就船舶抵押权与其他担保物权及光船租赁权的冲突作了系统研究。 船舶抵押权是船舶物权的重要组成部分,我国现行《海商法》仅用十条对其进行了规范,即便加上《担保法》及其《解释》的规定仍显不足,而针对海商的特殊性,有些问题更需要明确规定以期利用特别法优于一般法的原则使之符合现在航运融资的发展。 以上概括介绍了本文所涉问题、研究方法、解决思路及其佐证。文章中所提的观点是笔者在学习和研究过程中产生的一些浅陋的想法和体会,希望藉此起到抛砖引玉的作用,引起学人共同探讨,以期为健全我国《海商法》略尽绵薄之力。
[Abstract]:The development of shipping industry needs huge capital maintenance. It is difficult to purchase or build ships in the sense of maritime law only on the basis of its own funds, so it will produce the need of financing from the beginning of ship construction and purchase. In order to encourage shipping financing, the maritime laws of all countries have created the ship mortgage system without transfer possession. However, the study of the legal system of ship mortgage should not only be based on the basic theory of mortgage in civil law, but also combine the characteristics of ships, the needs of shipping practice and the characteristics of maritime law. Based on the basic principles of civil law, this paper makes a comparative study on the practice of shipping financing and the characteristics of maritime law, combined with the relevant legislation of the major maritime countries of the two major legal systems and the provisions of the relevant international conventions. At the same time, using the method of legal hermeneutics to analyze the relevant legislative provisions in China. In addition to the introduction, this paper is divided into four chapters. The first chapter summarizes and reflects on the identification of the ship mortgagor, focusing on the third party to establish the mortgage of the ship and the establishment of the mortgage of ships under construction related issues. The second chapter mainly deals with the research on the subject matter of ship mortgage, including the systematization of the existing achievements in the theoretical circle and the author's own understanding. The third chapter discusses the rights and obligations of the parties to ship mortgage, focusing on how to protect and balance the rights and interests of both parties. Chapter four makes a systematic study on the conflict between ship mortgage and other security interests and bareboat charter right. The mortgage of ship is an important part of the real right of ship. The current Maritime Law of our country has only regulated it with ten articles, even though the provisions of the Law of guarantee and its interpretation are still insufficient, the particularity of the maritime merchants is pointed out. Some issues require more clarity with a view to making use of the principle of Lex specialis over general law to bring it into line with the current development of shipping financing. The above summary introduces the problems, research methods, solutions and supporting evidence of this paper. The viewpoint put forward in this paper is some shallow ideas and experiences that the author has produced in the course of study and research, hoping to play the role of giving a brick to attract jade, arousing the scholars to discuss together, hoping to do a little bit for the perfection of our country's Maritime Law.
