【摘要】： 从理论上，国家所有权在内涵、主体、客体及取得方式上，均不同于一般意义的私人所有权，具有公共性。从实践上，国家所有权的实现是政府代表国家行使国家所有权，追求社会公共利益的过程，具体说是政府代表国家对国有资产进行管理和运营的过程，，这一过程因国家所有权的行使目标、行使者、和行使方式的特点而呈现出一定的复杂性和艰巨性。因此，理论和现实都需对国家所有权的法律调整重新进行制度设置。文章对制订专门国有资产法提出了内容设计的框架，并指出国有资产法应是追求社会公共利益的经济法对国家所有权调整的主要体现，同时还对国家所有权的民商法调整进行了分析，最后初步设想了国家所有权法律调整的宏观制度架构。由于国家所有权的公共性，从而使得西方的财产法理论，特别是物权法理论对解答国家所有权问题所能提供的理论资源极为匮乏，文章尝试性地引入了经济学研究的部分观点与成果，以求更好地说明国家所有权中的某些问题，希冀在研究方法上能有所探求。
[Abstract]:Theoretically, state ownership is different from private ownership in general meaning in connotation, subject, object and way of acquisition. In practice, the realization of state ownership is the process in which the government exercises state ownership on behalf of the state and pursues the social and public interests. Specifically, the government manages and operates the state-owned assets on behalf of the state. This process is complicated and arduous because of the characteristics of the goal, the executor, and the mode of state ownership. Therefore, both theory and practice need to re-set the legal adjustment of state ownership. This paper puts forward the framework of content design for the formulation of special state-owned assets law, and points out that the state-owned assets law should be the main embodiment of the adjustment of state ownership by economic law which pursues the social and public interests. At the same time, the adjustment of civil and commercial law of state ownership is analyzed, and the macroscopical system structure of legal adjustment of state ownership is preliminarily envisaged. Due to the public nature of state ownership, the western property law theory, especially the property law theory, is short of theoretical resources to solve the problem of state ownership. This paper tries to introduce some viewpoints and achievements of economic research in order to better explain some problems in state ownership and hope to explore some research methods.
