【摘要】：时至今日,农业作为第一产业依然是整个国民经济的基础和支撑,而农民也依然是我国人数最多的社会群体,“三农”问题始终是关系到国家生存与发展的重要课题。新中国成立以来,党和国家对农村的发展高度重视,农业制度历经改革发展,逐步形成了一条以家庭联产承包责任制为基础并向现代化农业不断发展迈进的农村经济发展道路,农业、农民在国民经济中的地位不断提升。但在发展的进程中市场的暗流也在不断的涌动,我国“三农”经济自上世纪90年代起开始迎接来自内外两个方面的巨大挑战,向内是如何应对我国农产品市场由生产者供给导向型向消费者需求导向型的转变,对外是如何在加入世界贸易组织后与世界农业全面接轨。面对新的形势,为有效应对农业市场的深刻变化,实现降低和减少农业生产经营行为的风险和不确定因素、增强势单力薄的个体农民的市场竞争力的迫切目的和需求,以联合起来组成合作社为主要形式的农民专业合作社组织产生并蓬勃发展起来。农民专业合作社在巩固农业基础地位、提高农民的组织化程度、促进农业产业化、实现农业集约化,增强农产品的国际竞争力等方面均发挥着重要的作用。基于此,我国于2007年出台了旨在通过系统且全面的安排和规定来促进和保障农民专业合作社发展的《农民专业合作社法》。虽在一定程度上填补了合作社领域法律的空白,但该法多原则性规定,可操作性不强,有过多的法律留白,增加了合作社的不稳定风险。本文对农民专业合作社主体法律制度进行研究,目的在于完善成员主体的相关规定,以更加明确和保护农民专业合作社成员的合法权益,实现合作社扶持农民的初衷。具体包括四个部分的内容：第一部分,界定农民专业合作社的概念、功能、特征等基本理论问题。第二部分,厘清农民专业合作社的主体法律地位,定性我国农业专业合作社是一种特殊法人组织。第三部分,在明确农民专业合作社的成员基本构成之基础上,从成员资格取得和成员资格限制的角度上论述农民专业合作社的法律构成问题。第四部分,阐述对农民专业合作社的成员权利的保护,丰富合作社成员权利保护的内容。
[Abstract]:Up to now, agriculture as the primary industry is still the foundation and support of the whole national economy, and the farmers are still the most numerous social groups in our country. The "three rural areas" problem has always been an important topic related to the survival and development of the country. Since the founding of the people's Republic of China, the Party and the state have attached great importance to the development of rural areas. After reform and development, the agricultural system has gradually formed a rural economic development road based on the household contract responsibility system and striding towards the continuous development of modern agriculture. Agriculture, the status of farmers in the national economy continues to improve. However, in the process of development, the undercurrent of the market is also constantly surging. Since the 1990s, the "agriculture, countryside and farmers" economy of our country has begun to meet the enormous challenges from both inside and outside. How to cope with the change from producer supply oriented to consumer demand oriented in the agricultural product market, and how to integrate with the world agriculture after China's entry into WTO. Facing the new situation, in order to effectively cope with the profound changes in the agricultural market, to achieve the urgent purpose and demand of reducing and reducing the risks and uncertainties of agricultural production and management behavior, and enhancing the market competitiveness of individual farmers, Farmers' specialized cooperative organizations formed and flourished in the form of United cooperatives. Farmers' specialized cooperatives play an important role in consolidating the basic position of agriculture, improving the organization of farmers, promoting the industrialization of agriculture, realizing the intensification of agriculture and enhancing the international competitiveness of agricultural products. Based on this, in 2007, our country issued the "Farmers' Professional Cooperative Law" which aims at promoting and safeguarding the development of farmers' professional cooperatives through systematic and comprehensive arrangements and regulations. Although to a certain extent, this law has filled the blank of the law in the field of cooperatives, but this law has many rules of principle, is not operable, and has too much legal space, which increases the risk of instability of cooperatives. The purpose of this paper is to perfect the relevant regulations of the members in order to make clear and protect the legal rights and interests of the members of the farmers' professional cooperatives and to realize the original intention of the cooperatives to support the peasants. It includes four parts: the first part defines the concept, function, characteristics and other basic theoretical issues of farmers' professional cooperatives. The second part, clarifies the main body legal status of the farmer specialized cooperative, characterizes our country agriculture specialized cooperative is a kind of special legal person organization. The third part, on the basis of defining the basic composition of the members of the farmers' specialized cooperatives, discusses the legal constitution of the farmers' professional cooperatives from the point of view of the acquisition of membership and the restriction of membership. The fourth part expounds the protection of the members' rights of the farmers' professional cooperatives and enriches the contents of the protection of the members' rights.
