“三权分置”背景下承包土地的经营权抵押制度研究

【摘要】:随着我国农村经济的快速发展,农地规模化经营的需求与目前农地流转严格受限的现状之间的矛盾催生了 "三权分置"的农地产权改革政策。并且在这一政策之下,中央鼓励以土地承包经营权上分离出的承包土地的经营权作为抵押物向金融机构抵押融资。农村承包土地的经营权抵押是我国经济发展转型期,深化农村经济改革的伟大探索,是发展现代农业、盘活农村经济的新方法,有利于在保障我国粮食安全的同时促进农民财产性收入的增加。在物权、债权"二元财产"体系之下,农村承包土地的经营权尽管已经具备了用益物权的权能和效力,但囿于当前物权法定的原则,其并不能成为法律上的物权;但若是将其作为债权,其权能和效力又远非债权所能涵盖,显然是名不符其实的债权,因此将其定义为一种"高度物权化的债权",以区别普通债权。承包土地的经营权抵押的实质依然是权利抵押,权利配置正义论和农地经营权的处分权能为承包土地的经营权抵押提供了法理基础,资源配置优化论为承包土地的经营权抵押提供了法经济学基础。尽管承包土地的经营权抵押具有充分的理论基础,但承包土地的经营权作为一项特殊的财产权,在其抵押融资方面依然面临着抵押物权属证明不统一,抵押实施缺乏法律依据,抵押权设立的条件存在不合理性、设立登记难以纳入不动产统一登记,抵押物处置难以及抵押相关配套制度不健全等问题。对此,在抵押的基础制度完善方面,宜通过为流转的承包土地的经营权进行统一登记并颁发流转经营权证书,以此作为抵押物的权属证明及其抵押权设立登记的初始登记;加快出台有关承认承包土地的经营权抵押效力的司法解释并在时机成熟时开展相关立法的修改工作,从而推动承包土地的经营权抵押政策的法律化;更正承包土地的经营权抵押权设立的实质条件、明确其抵押权设立的登记要件主义原则;采用强制管理的方式处置承包土地的经营权抵押中的抵押物从而实现抵押权。在完善承包土地的经营权抵押制度的同时通过构建规范的农地产权交易平台、建立完善的土地价值评估机制和多元化的风险缓释与分担机制从而健全承包土地的经营权抵押的相关配套制度。
[Abstract]:With the rapid development of rural economy in China, the contradiction between the demand for large-scale management of agricultural land and the current situation of strictly restricted agricultural land circulation has given birth to the reform policy of "three rights divided" farmland property rights. Under this policy, the central government encourages the management right of contracted land separated from the land contractual management right as collateral to finance financial institutions. The mortgage of management right of rural contracted land is a great exploration to deepen the reform of rural economy during the period of economic development of our country. It is also a new method to develop modern agriculture and revitalize the rural economy. In order to ensure food security in China at the same time to promote the increase in property income of farmers. Under the system of "dual property" of real right and creditor's rights, although the management right of rural contracted land has already possessed the power and effect of usufruct right, it can not become legal real right because of the principle of current property law. However, if it is regarded as a creditor's right, its power and effect are far from being covered by the creditor's rights, which are obviously not true claims, so it is defined as a kind of "highly real right creditor's rights" to distinguish ordinary creditor's rights. The essence of the management right mortgage of contracted land is still the right mortgage. The theory of right allocation justice and the disposition power of farmland management right provide the legal basis for the management right mortgage of contracted land. The theory of resource allocation optimization provides the basis of law and economics for the mortgage of management right of contracted land. Although the mortgage of management right of contracted land has sufficient theoretical foundation, as a special property right, the right of management of contracted land is still faced with the disunity of the proof of ownership of mortgaged property and the lack of legal basis for the implementation of mortgage. The conditions for the establishment of mortgage are unreasonable, the registration of establishment is difficult to be incorporated into the unified registration of real estate, the disposal of mortgage is difficult, and the supporting system of mortgage is not perfect. Therefore, in the aspect of perfecting the basic system of mortgage, it is advisable to register the management right of contracted land and issue the certificate of circulation management right as the proof of ownership of mortgage and the initial registration of the establishment of mortgage right. Speeding up the introduction of the judicial interpretation of the validity of the mortgage of the management rights of the contracted land and carrying out the revision of the relevant legislation when the time is ripe so as to promote the legalization of the mortgage policy of the management right of the contracted land; This paper corrects the essential conditions of the establishment of the mortgage of the management right of the contracted land, clarifies the principle of registration elements for the establishment of the mortgage, and adopts the way of compulsory management to dispose of the mortgage in the mortgage of the management right of the contracted land so as to realize the mortgage. While perfecting the mortgage system of the management right of contracted land, through the construction of standardized farmland property right trading platform, Establish a perfect land value evaluation mechanism and a diversified risk mitigation and sharing mechanism, so as to perfect the contract land management rights mortgage related supporting system.
